Nothing in these Terms affects any statutory rights which cannot legally be excluded or restricted.
2. Business and Consumer Customers
We supply products to both business customers and, where applicable, consumers.
A consumer is an individual purchasing goods wholly or mainly for purposes outside their trade, business, craft or profession.
A business customer is anyone purchasing goods wholly or mainly for purposes relating to a trade, business, craft or profession, including veterinary practices, companies, partnerships and other organisations.
Certain provisions of these Terms apply differently depending on whether you are purchasing as a consumer or as a business.
Where applicable consumer law provides you with rights that conflict with these Terms, your statutory consumer rights will take precedence.
3. Using Our Website
You must not use our website:
-
for any unlawful or fraudulent purpose;
-
to introduce viruses, malware or other harmful material;
-
to interfere with the operation or security of the website;
-
to infringe our intellectual property rights or those of another person; or
-
to obtain unauthorised access to our website, servers or associated systems.
We may suspend or restrict access to our website where reasonably necessary for security, maintenance or legal reasons.
4. Product Information
We take reasonable care to ensure that product descriptions, specifications, photographs, pricing and availability displayed on our website are accurate.
Product images are provided for illustration purposes and minor differences in packaging, labelling, colour or appearance may occur, particularly where manufacturers update their products.
Where dimensions, capacities, performance figures, compatibility information or other technical specifications are important to your purchase, please check the product information carefully or contact us before ordering.
Nothing in this section limits our responsibility to provide goods that comply with applicable law.
5. Professional and Veterinary Products
Some products sold by Vet360 Supplies are intended for veterinary, clinical, laboratory, agricultural or professional use.
Customers are responsible for ensuring that products are appropriate for their intended application and that they are used, stored and handled in accordance with:
-
manufacturer instructions;
-
product labels;
-
safety data sheets where applicable;
-
relevant legislation and professional guidance; and
-
appropriate workplace risk assessments and procedures.
This does not exclude or limit any legal responsibility which Vet360 Supplies has in relation to the safety, conformity or description of the goods supplied.
6. Orders
Placing an order through our website constitutes an offer to purchase the products shown in your order.
Receipt of an automated order confirmation does not necessarily mean that we have accepted the order.
A contract is formed when we accept your order and confirm that the goods have been dispatched, unless we expressly notify you otherwise.
We reserve the right to refuse or cancel an order before dispatch where, for example:
-
a product is unavailable;
-
there has been an obvious pricing or product-description error;
-
payment has not been authorised;
-
we cannot deliver to the address provided;
-
we reasonably suspect fraud or misuse; or
-
we are unable legally or safely to supply the product.
Where we cancel an order after payment has been taken, we will refund amounts paid for goods we do not supply.
7. Prices and VAT
Prices are displayed on our website in pounds sterling unless otherwise stated.
Prices will indicate whether VAT is included or added at checkout, as applicable.
Delivery charges and any other applicable charges will be shown before you complete your order.
We may change our prices at any time, but price changes will not normally affect an order which we have already accepted.
If an obvious pricing error occurs, we may contact you to give you the option of purchasing at the correct price or cancelling the order.
8. Payment
Payment must be made using one of the payment methods offered during checkout unless separate credit-account terms have been agreed with us.
For approved business customers purchasing on credit terms, payment must be made in accordance with the agreed account terms shown on the relevant invoice or account agreement.
Failure to pay sums due may result in suspension of further supplies or withdrawal of credit facilities.
9. Delivery
We will provide an estimated delivery timeframe when you place your order.
Delivery dates are estimates unless we have specifically agreed a guaranteed delivery date with you.
Consumers will retain all statutory rights concerning delivery times.
Business customers should notify us promptly if an order has not arrived within the expected delivery period.
Some goods, including chemicals, aerosols, liquids or other regulated products, may be subject to specific carrier restrictions and may not be available for delivery to every location.
10. Risk and Ownership
For consumer purchases, risk in the goods passes to you when the goods come into your physical possession or the possession of a person nominated by you, subject to applicable law.
For business purchases, unless otherwise agreed, risk passes to the customer upon delivery.
Ownership of goods supplied to a business customer will not pass until we have received full payment for those goods and all other sums due to us in relation to that supply, to the extent permitted by law.
11. Inspection of Goods
Please inspect goods as soon as reasonably possible after delivery.
If an item is damaged, defective, incorrect or appears to be missing, please contact us promptly at:
Consumers' statutory rights are not affected by any request to inspect or report goods promptly.
12. Returns and Cancellations
Returns, refunds and consumer cancellation rights are dealt with under our Refund & Returns Policy, which forms part of these Terms.
For change-of-mind returns where legally permitted, customers are responsible for the direct cost of returning the goods unless we have agreed otherwise.
Where goods are faulty, damaged on delivery, incorrectly supplied or otherwise do not comply with our legal obligations, we will deal with the return in accordance with applicable law.
Business Customers
Correctly supplied and non-faulty goods purchased for business purposes may only be returned with our prior approval.
Where we agree to accept a business return:
-
the customer is responsible for arranging and paying return carriage unless agreed otherwise;
-
products must normally be unused, complete and in a resalable condition; and
-
a 15% restocking charge may apply.
No restocking charge will be applied where goods are faulty, incorrectly supplied or where we are otherwise legally responsible for accepting their return.
Certain special-order, bespoke, personalised or non-stock products may not be returnable where this has been made clear before the order is placed.
13. Consumer Cancellation Rights
If you are purchasing as a consumer online, you will normally have a legal right to cancel your order within 14 days of receiving the goods without giving a reason, subject to statutory exceptions.
Details of these rights, including how to exercise them and responsibility for return costs, are contained in our Refund & Returns Policy.
Our voluntary returns policy does not reduce your statutory rights.
14. Faulty or Misdescribed Goods
We are legally responsible for supplying goods that conform to the contract.
Nothing in these Terms excludes or restricts any rights or remedies available to consumers in relation to goods which are faulty, not of satisfactory quality, not fit for purpose or not as described.
Business customers also retain any rights which cannot lawfully be excluded or restricted.
15. Special Orders and Bespoke Products
Products ordered or manufactured specifically at a customer's request may be subject to different cancellation or return conditions.
Where this applies, we will make the relevant conditions clear before accepting the order.
Consumer statutory rights remain unaffected.
16. Hazardous and Regulated Products
Certain goods may be classified as hazardous, regulated or restricted for transport purposes.
Customers must not return such goods using ordinary postal or courier services where doing so would breach transport, carrier or safety requirements.
Please contact us before returning chemicals, aerosols, flammable products, compressed gases or any other product subject to transport restrictions so that appropriate arrangements can be made.
This does not affect your legal rights where such products are faulty, damaged or incorrectly supplied.
17. Product Availability and Discontinuation
Products may be withdrawn, replaced or discontinued by us or the manufacturer without notice.
If an item becomes unavailable after you place an order, we will contact you and may offer:
-
an alternative product;
-
a revised delivery date; or
-
cancellation and a refund.
You will not be required to accept a substitute product.
18. Website Errors
We may correct typographical mistakes, pricing errors or inaccurate information appearing on our website.
Where an error affects an order already placed, we will contact you where appropriate before proceeding.
We will not use this provision to remove or restrict any statutory rights.
19. Intellectual Property
Unless otherwise stated, the content of this website, including text, graphics, logos, photographs and website design, belongs to Vet360 Supplies, our licensors or relevant manufacturers and is protected by applicable intellectual property law.
You may use our website for your own lawful personal or business purchasing purposes but may not reproduce or commercially exploit its content without permission.
20. Third-Party Links
Our website may contain links to third-party websites or services.
We are not responsible for the content or operation of third-party websites which are outside our control.
Customers should review the terms and privacy policies of any third-party website they choose to use.
21. Liability to Consumers
Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
This includes liability for:
-
death or personal injury caused by negligence;
-
fraud or fraudulent misrepresentation; or
-
any consumer rights or other liability which cannot legally be excluded.
We are not responsible for losses which were not reasonably foreseeable when the contract was made or which result from circumstances outside our reasonable control, subject always to your statutory rights.
22. Liability to Business Customers
This section applies only where you purchase goods wholly or mainly for business purposes.
Nothing in these Terms excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any other liability which cannot lawfully be excluded.
Subject to the above and to the extent permitted by law, we will not be liable for indirect or consequential losses, loss of profit, loss of revenue, loss of business, loss of contracts or loss of anticipated savings arising from a business purchase.
Any limitation of liability will be applied only to the extent that it is fair, reasonable and legally enforceable in the circumstances.
23. Events Outside Our Reasonable Control
We will not be responsible for delay or failure to perform our obligations caused by events outside our reasonable control, such as severe weather, transport disruption, strikes, natural disasters, government restrictions, failure of suppliers or carriers, or major telecommunications or technology failures.
We will take reasonable steps to minimise the effect of such events.
Consumer statutory rights remain unaffected.
24. Personal Information
Our processing of personal information is governed by our Privacy Policy.
Please refer to our Privacy Policy for information about how we collect, use and protect personal data.
25. Changes to These Terms
We may update these Terms from time to time.
Changes will apply to use of our website after the updated Terms are published.
Changes will not normally alter the terms governing an order that we have already accepted unless required by law or expressly agreed with you.
26. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
27. Governing Law and Jurisdiction
These Terms and any contract arising from them are governed by the laws of England and Wales.
If you are a consumer, this does not deprive you of any mandatory consumer protection rights available under the laws applicable to you, and you retain any rights regarding where legal proceedings may be brought which cannot lawfully be excluded.
For business customers, the courts of England and Wales will have exclusive jurisdiction unless we agree otherwise in writing.
